These Terms of Service ("Terms") govern your access to and use of the Vela platform and services operated by Vela ("Vela," "we," "us," or "our"). By creating an account or using our services, you agree to these Terms. If you do not agree, do not use the services.
Vela provides an AI-powered demand generation platform that allows users to build a brand repository and generate marketing campaign content using AI agents. The service is provided on a subscription basis with the plan tiers described on our Pricing page.
We reserve the right to modify, suspend, or discontinue any aspect of the service at any time. We will provide reasonable notice of material changes where possible.
You must create an account to use Vela. You agree to provide accurate and complete information, maintain the security of your credentials, and notify us promptly of any unauthorized access to your account. You are responsible for all activity that occurs under your account.
You must be at least 18 years old to create an account. By registering, you represent that you meet this age requirement.
Vela offers a free tier and paid subscription plans (Solo, Team, Enterprise) billed monthly or annually. Subscriptions renew automatically at the end of each billing period unless cancelled.
All payments are processed by Stripe. By providing payment information, you authorize Stripe to charge your payment method on a recurring basis. If payment fails, we will attempt to notify you and may suspend your account until payment is resolved.
You agree to use Vela only for lawful purposes and in accordance with these Terms. You agree not to:
You retain all ownership rights to the content you upload to Vela (brand guides, product documents, past campaigns) and the campaign content generated through the service. By using Vela, you grant us a limited, non-exclusive license to process your content solely for the purpose of delivering the service to you.
Your repository content, uploaded documents, and campaign outputs are never used to train any shared AI model. This license is strictly limited to service delivery for your account.
You are solely responsible for the content you upload and the campaigns you generate and deploy. You represent that you have all necessary rights to any content you upload, and that your use of generated campaign content complies with applicable laws, including advertising standards, financial regulations, and intellectual property rights.
Campaign content generated by Vela is produced by AI systems and may contain inaccuracies, errors, or content that requires human review before deployment. We strongly recommend reviewing all AI-generated content before publishing or distributing it. Vela does not warrant that generated content is accurate, complete, error-free, or compliant with any specific regulatory requirement.
You are responsible for the accuracy of any claims, statistics, or factual statements in content you deploy, regardless of whether they originated from AI generation.
Vela and its licensors own all rights to the platform, including the underlying software, prompt architecture, agent configurations, design system, trademarks, and all proprietary technology. Nothing in these Terms transfers any ownership of Vela's intellectual property to you.
The prompt architecture used by Vela's AI agents — including system prompts, context assembly logic, and agent routing mechanisms — is proprietary trade secret information. You agree not to attempt to extract, replicate, or reverse engineer this architecture.
Each party agrees to keep confidential any non-public information of the other party that is designated as confidential or that reasonably should be understood to be confidential. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.
The service is provided "as is" and "as available" without warranty of any kind, express or implied. Vela expressly disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or free of viruses or other harmful components.
To the maximum extent permitted by applicable law, Vela shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or goodwill, arising from your use of or inability to use the service. In no event shall Vela's total liability to you exceed the greater of (a) the amount you paid for the service in the 12 months preceding the claim, or (b) $100.
You agree to indemnify, defend, and hold harmless Vela and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the service, your violation of these Terms, or your violation of any rights of a third party.
We may suspend or terminate your account if you violate these Terms, if your payment is repeatedly unsuccessful, or if we reasonably believe your use of the service poses a risk to other users or our infrastructure. You may terminate your account at any time through the account settings. Upon termination, your access to the service ends and your data is retained for 90 days before permanent deletion.
These Terms are governed by the laws of the State of New Jersey, United States, without regard to conflict of law principles. Any dispute arising from these Terms shall be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. You waive any right to a jury trial or class action proceeding.
We may update these Terms from time to time. We will notify you of material changes by email at least 14 days before they take effect. Continued use of the service after the effective date constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the service before the effective date.
